Terms and Conditions of Service

1. Confidentiality

1.1 Any information provided by Rosenheim Technologies regarding technologies, software, or other proprietary information is deemed confidential and shall not be disclosed to third parties without the express written consent of Rosenheim Technologies.
1.2 The confidentiality obligation shall remain in effect both during the term of the contract and for a period 6 months after the termination of the contract.
1.3 In accordance with UK/EU law, the parties agree to comply with the General Data Protection Regulation (GDPR) regarding the processing and protection of personal data.


2. Pricing and Charges
2.1 All charges and fees associated with Rosenheim Technologies’ services are subject to change without prior notice.
2.2 Rosenheim Technologies reserves the right to modify pricing, fees, or payment terms at any time before the formal signing of the contract.
2.3 Clients will be notified of any changes to pricing or charges, and such changes will only apply to new services or renewals.


3. Contract Initiation
3.1 Initiation into a potential contract with Rosenheim Technologies is not binding and does not constitute a formal agreement.
3.2 Rosenheim Technologies reserves the right to modify or withdraw from negotiations at any point before the formal signing of the contract.
3.3 In the US, this agreement is not intended to create a binding contract until a formal written agreement is executed by both parties.


4. Governing Law
4.1 This agreement shall be governed by and construed in accordance with the laws of [insert jurisdiction].
4.2 For UK/EU clients, this agreement shall be subject to the laws of England and Wales, and any disputes shall be resolved in accordance with the rules of [insert arbitration organization].

5. Data Protection

5.2 Rosenheim Technologies shall implement reasonable measures to protect the confidentiality and security of personal data. However, Rosenheim Technologies is not liable for unauthorized access, use, or disclosure of personal data unless such access, use, or disclosure is due to Rosenheim Technologies’ negligence.


6. Limitation of Liability
6.1 Rosenheim Technologies shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.
6.2 Rosenheim Technologies’ total liability under or in connection with this agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by the client for the services during the 12 months preceding the event giving rise to the claim.
